TERMS & CONDITIONS OF MEMBERSHIP

Please read these Terms & Conditions carefully and in their entirety before enrolling as a member of the Points4Travel or E-Mail Exclusive programs. Since it is important that you understand and agree to the Terms & Conditions before becoming a Member, you are required to indicate such by clicking on "I Agree" at the end of these Terms & Conditions.

You must meet all of the following criteria to be eligible for membership: you must be a human individual who is 18 years or older with internet access and an e-mail address and who does not hold any other Points4Travel membership.

As a Member, you will be entitled to earn Points by making qualified purchases online from participating Points4Travel merchants at the participating merchants’ web sites. In order to earn points, you must always start shopping from the "Earn Points" page in the Points4Travel website. If you leave the merchant's site before making a purchase and want to return to make a purchase, you must originate your return link to that merchant through the "Earn Points" page of the Points4Travel website in order to be eligible to earn points.A complete and current list of participating merchants can be found at "Earn Points - Participating Merchants" on the Points4Travel Website (http://www.points4travel.com). What constitutes a qualified purchase and the number of Points rewarded for that qualified purchase is determined solely by the participating merchant. Your compliance with the merchant’s qualification to earn Points is determined solely by the participating merchant. Points4Travel reserves the right to invalidate Points posted to your Account upon notification from the merchant that you did not meet the qualifications stated (such as in the case of returned merchandise for which points were received).

Once you have complied with the merchant’s qualifications to earn Points4Travel, the designated number of Points specified by that merchant will be transferred to your Points4Travel Member Account. It is your responsibility to regularly check your Account Statement to ensure that your account balance is accurate and all Points4Travel transfers have been made.

You may be taxed on your accrual or redemption of Points4Travel, depending on the number of Points you accrue or redeem and the applicable federal, state or local tax laws. Points4Travel will provide you with the notices and forms which the law requires us to provide, but you will be responsible for any and all tax liability which may arise out of your accrual or redemption of Points.

Accrued Points must be redeemed for a specific Travel Reward by December 31^st of the year following the year in which they were earned. (Example: Points earned any time in 1999 expire at midnight on December 31, 2000 and must be redeemed with Points4Travel for a specific Travel Reward no later than midnight on December 31, 2000.)

You will have one year from the date of redemption to complete the travel offered in your specific Travel Reward. (Example: You Redeem 1,000 Points on October 1, 1999 to secure the Travel Reward entitled "Buy-One-Get-One-Free 4-Day Carnival Cruise". You must complete your 4-Day Carnival Cruise by October 1, 2000. You may advise Points4Travel of your desired travel date at the time of redemption, or you may advise your desired travel date later, providing travel is completed by the expiration date of one year from redemption.)

Points accrued in your Account may be redeemed for one or more of the Rewards found at "Travel Reward Choices" on the Points4Travel Website (http://www.points4travel.com). Travel Reward Choices are subject to change at any time. The number of Points required for redemption of each reward choice is subject to change at any time and will be determined by the number of Points shown under "Travel Reward Choices" at www.points4travel.com at the time a Redemption Request Form is correctly completed and accepted by Points4Travel.

To redeem your Points to secure a Travel Reward Choice, you must 1) know your Username and password to access the redemption process; and, 2) have enough valid accrued points as shown in your Account Statement to be entitled to your Choice; and, 3) request a reward redemption under "Redeem Points" at www.points4travel.com by completing the Redemption Request Form.

To submit a Reward "Travel Request", you must 1) have redeemed the required number of Points for the specific Reward Choice; and, 2) complete the "Travel Request" section of the Redemption Request Form in compliance with the Terms of your specific Reward; and, 3) be sure that travel is completed within one year of the date you redeemed your Points. If you do not know your desired travel date at the time you redeem your Points, your Redemption Form will be "banked" and can be retrieved from your Member Account at any time up until the Travel Reward expires. Once retrieved, you may complete the "Travel Request" section of the banked Redemption Form and submit it for travel processing.

No refund for any unused Points will be made. Points have no cash value and may be redeemed only for qualified Travel Reward Choice services specified at www.points4travel.com at the time of redemption. Points from multiple Accounts may not be combined for redemption. Points may not be sold, resold or transferred. Once redeemed, Points may not be exchanged, refunded or reinstated in any manner or for any reason. Once expired, Points may not be redeemed.

Points may be redeemed only by correctly completing an official Points4Travel Redemption Request Form, found at www.points4travel.com, for one or more of the Travel Reward Choices offered at the time of redemption. Points may not be redeemed directly with any supplier (hotel, airline, cruise line, car rental, attraction or amusement, etc).

Points4Travel’s relationship with the suppliers is through it’s parent company Vacation Ventures, Inc. which is registered as a Seller of Travel in the State of Florida, Registration No. 10077. Vacation Ventures, Inc. is fully and solely responsible for the offers made within the Points4Travel - Travel Reward Choices.

Points cannot be combined or used in conjunction with any other points programs, coupons, discounts, special offers or other Vacation Ventures premiums or programs. Under no circumstances will Travel Rewards be refunded or exchanged for Points or cash or any other Reward, service or offer.

Travel Reward Choices are subject to change at any time. The accrual of Points does not constitute a guarantee that certain Travel Reward Choices will be available for request at the time of redemption or that the number of Points required at the time of accrual will be the same as that required at the time of redemption. Points4Travel only guarantees the ability to request certain Travel Reward Choices for a specified number of Points based on the information found under "Travel Reward Choices" at www.points4travel.com on the day and time a correctly completed Redemption Request Form is accepted by Points4Travel. Points4Travel is under no obligation to provide a grace period during which accrued but non-redeemed points can be redeemed in order to qualify for a guarantee. Hotel choices found within certain "Travel Reward Choices" are subject to change at any time. Points4Travel only guarantees specific hotel choices based on the information found under "Travel Reward Choices" at www.points4travel.com on the day and time a request for a specific check-in date at a specific hotel ("Travel Request") under a redeemed Reward is submitted to and accepted by Points4Travel.

Each Travel Reward Choice has unique Terms specified within the description of the Reward and which must be complied with at the time of "Travel Request". Fun Getaway, all hotel and Carnival Cruise travel requests are accepted subject to Vacation Ventures’ contractual availability. Additionally, all Travel Rewards are issued subject to the Terms & Conditions specified by the suppliers (hotel, airline, cruise line, car rental company, attraction or amusement, membership, etc.). By utilizing the services of the suppliers, you agree that neither Points4Travel, Vacation Ventures, the merchants, nor any representatives of any of these entities, shall be liable for any accident, injury, property damage or personal loss to you or to those traveling with you in connection with any accommodations, transportation or other travel or amusement services resulting directly or indirectly from any occurrences or conditions beyond their control including, but not limited to, defects in vehicles, breakdown in equipment, strikes, acts of terrorism, theft, delay or cancellation of or changes in itinerary or schedules, weather conditions.

To access your Account, you must log into www.points4travel.com and identify yourself with your User Name and password. For security reasons, we recommend that you not share your password with anyone because Points4Travel is entitled to act on instructions received under your password. Points4Travel and Vacation Ventures are not responsible for any credits, debits or reward redemptions made to your account by someone else who uses your password.

Points may not be assigned, sold, bartered or otherwise transferred. Accrued Points do not constitute property and are not transferable: (i) upon death; (ii) as part of a domestic relations matter; or (iii) for any reason otherwise or by operation of law. Any Points transferred in any manner in violation of these Terms & Conditions will be automatically confiscated and canceled and the Member attempting to make and/or receive a transfer of Points will be subject to immediate Account termination and liability for damages.

The E-Mail Exclusive sign-up bonus of 50 Points will be rewarded only one time per Member Account. E-Mail Exclusive will entitle the Member to receive exclusive notification by e-mail of participating Points4Travel merchants’ sales, special deals or ways to earn additional Points.

You cannot join E-Mail Exclusive without completing the Survey Information. The Survey Information is kept strictly confidential. Please read our Privacy Policy for details.

In order to retain the 50 Points received for joining, you must participate in E-Mail Exclusive for at least 6 consecutive months. If you want to cancel your E-Mail Exclusive participation, you may do so by sending an e-mail notification to administration@points4travel.com.

It is the Member’s responsibility to: 1) Review current Terms & Conditions on-line and comply with all Terms & Conditions; 2) Keep Username and password confidential; 3) Review Account Statement to ensure balance is correct and all Point transfers have been made; 4) Redeem valid Points by the expiration date; 5) Contact Points4Travel by e-mail with any changes made to personal information, such as e-mail or physical address changes.

It is the participating merchant’s responsibility to: 1) Notify Points4Travel of the designated number of Points to credit Member Account within 24 hours after merchant’s shipment of qualifying purchase and receipt of good funds (back-ordered items will not be credited Points until item is shipped and paid for); 2) Notify Points4Travel of any adjustments to be made to earned Points due to merchant error, transfer error, returns or non-payment; 3) Notify Points4Travel of any specials for E-Mail Exclusive participants.

It is Points4Travel’s responsibility to: 1) Maintain Member Account Statement based on Points awarded by merchant to Username and redeemed under the Member password; 2) Promptly acknowledge receipt of correctly completed Redemption Request Form and process requests within 2 business days; 3) Screen participating merchants’ E-Mail Exclusive offers to ensure that no pornographic, obscene or inappropriate materials (as defined by the general public) will be sent to your E-Mail box; 4) Notify Members by e-mail of changes to the Terms & Conditions which would substantially effect a Member’s ability to earn and/or redeem Points; 5) Maintain Privacy Policy standards.

Points4Travel and Vacation Ventures, Inc., and NOT any participating merchants, are fully and solely responsible for fulfillment of the offers made under "Travel Reward Choices" at www.points4travel.com.

Points4Travel, Vacation Ventures, Inc. and participating merchants are not responsible for your inability to connect to the Internet, log into the Points4Travel Web site or access your Member Account.

Points4Travel and Vacation Ventures, Inc. are not responsible for changes to, or discontinuance of, any merchant or supplier participation. Points4Travel and Vacation Ventures, Inc. are not responsible for any effect on the accrual of Points caused by changes to, or discontinuance of, any merchant or supplier participation.

Points4Travel, Vacation Ventures, Inc. and participating merchants are not responsible for the willful or negligent acts and/or omissions by the suppliers of components of the Travel Reward Choices or their respective employees, agents, servants or representatives including, without limitation, their failure to deliver or their partial or inadequate delivery of services.

Points4Travel and Vacation Ventures, Inc. assume no responsibility for any verbal or written representation made in conjunction with this program or offers by an agent, distributor, merchant, person or entity other than what is specifically contained within these Terms & Conditions.

The Points4Travel rewards program is provided to the Member "as is" with no warranty. To the maximum extent permitted by law, Points4Travel and Vacation Ventures, Inc. disclaim all representations and warranties, expressed or implied, with respect to the program including, but not limited to, implied warranties of merchantability and fitness for any particular purpose and implied warranties arising from course of dealing or course of performance.

Points4Travel and Vacation Ventures, Inc. do not warrant, guarantee or make an representations regarding the quality of or accuracy of advertisements for any merchandise, products or services offered by merchants or suppliers in conjunction with this program. In addition, Points4Travel and Vacation Ventures, Inc. do not warrant, guarantee or make any representations that this site is or will be free of viruses or other destructive materials, although reasonable steps will be taken to prevent the introduction of viruses or destructive material to this site. Also, Points4Travel and Vacation Ventures, Inc. do not warrant that access to this site will be uninterrupted or error-free and assume no responsibility for any damage caused by your access or inability to access this site.

Points4Travel and Vacation Ventures, Inc. do not assume responsibility for any errors or omissions in the content of any hotel, destination or vacation package descriptions.

Participating merchants and suppliers are NOT liable for non-performance of Points4Travel/Vacation Ventures’ obligations. You agree not to sue any participating merchant, supplier or corporate affiliate for non-performance by Points4Travel or Vacation Ventures, Inc. In no event shall Points4Travel and/or Vacation Ventures, Inc. and/or any affiliated company be liable for any damages, claims or losses incurred, including, without limitation, compensatory, incidental, indirect, special, consequential or exemplary damages, however caused and under any theory of liability arising in connection with (i) this program, (ii) any failure, delay or decision by Points4Travel or Vacation Ventures, Inc. in administering the program, (iii) the use or inability to use this web site, (iv) the purchase or use of any merchandise, products or services of merchants or suppliers, even if Points4Travel or Vacation Ventures, Inc. or representatives thereof are advised of the possibility of such damages, claims or losses and notwithstanding any failure of essential purpose of any limited remedy.

Points4Travel reserves the right to terminate the program at any time with 90 days notice. This means you will have ninety (90) calendar days from the date the e-mail notice of program termination is provided to Members to accumulate and redeem Points in your Account. Notification of program termination will be sent to the e-mail address you provide during the registration process. Points4Travel and any affiliated companies or participating merchants or suppliers will not be responsible for failing to notify you of program termination where such failure is caused by an error in your e-mail program, an inaccurate e-mail address, your failure to check for your e-mail on line, or your failure to inform Points4Travel of a change in your e-mail address.

Points4Travel reserves the right the modify the Terms & Conditions and all aspects of the Travel Reward Choices, participating merchants and other program components from time to time, with or without notice, and your continued participation in the program after such modification shall be deemed to be your acceptance of any such modification. It is your responsibility to check the Points4Travel Web site regularly to determine whether modifications have been made. If you do not agree to any modification made, you must immediately cease participation in the program.

Membership is subject to the Terms & Conditions. Failure to comply with the Terms & Conditions, any fraud or abuse relating to the accrual or redemption of Points, or any misrepresentation of any information furnished by you, or anyone acting on your behalf, to Points4Travel, Vacation Ventures or participating merchants may result in termination of your Membership, cancellation of your Account and forfeiture of your Points.

All questions or disputes regarding the program must be submitted in writing within 90 days of the disputed transaction to Points4Travel at Vacation Ventures, Inc., 419 N. Magnolia Ave., Orlando FL 32801, or e-mail us at customerservice@points4travel.com. Any such disputes shall be resolved by Points4Travel and/or Vacation Ventures, Inc. at its sole discretion. All interpretations of the Terms & Conditions shall be at the sole discretion of Points4Travel and/or Vacation Ventures, Inc. In the event an error is made by Points4Travel or Vacation Ventures Inc. with respect to your Account Statement, your sole remedy shall be the credit of disputed Points to your Account.

All matters arising out of the receipt and redemption of or travel under the Points4Travel program shall be construed and enforced in accordance with the laws of the State of Florida. It is agreed by and between the Member and Points4Travel/Vacation Ventures, Inc. that the venue of all disputes and matters whatsoever arising under, in connection with or incident to the receipt and redemption of or travel under this program shall be litigated, if at all, in and before a Court of competent jurisdiction in the 9^th Judicial Circuit in Orange County, Florida U.S.A. to the exclusion of the Courts of any other State or Country. It is also agreed by and between the Member and Points4Travel/Vacation Ventures, Inc. that the party prevailing in any legal action shall be entitled to an award of all legal costs and expenses including a reasonable sum for attorney fees including legal fees and costs on appeal.
